Standard Terms and Conditions

Section 1: Company Information

By signing a quote or professional services agreement with Inbouncy LLC, you are agreeing to the following terms and conditions:

1.1 Business Entity:

Inbouncy LLC is a Limited Liability Company (LLC) established and registered with the Wyoming Department of State and similar agencies in other relevant jurisdictions.

1.2 Definitions:

For the purposes of this agreement, Inbouncy LLC shall be referred to as "Consultant," and the client's company or entity shall be referred to as "Client."

Section 2: Services and Billing

2.1 Service Purchase:

Client is purchasing time and availability of Consultant's services and personnel, tracked in increments of 15 minutes. Consultant will notify Client if hours may exceed the purchased amount by 90% completion.

2.2 Commitment to Client's Investment:

Both parties agree to make reasonable efforts to ensure that Client’s investment does not exceed the committed level unless mutually agreed upon.

2.3 Service Delivery:

Services may be provided by Inbouncy personnel or contractors. The labor rates are not assigned to specific individuals. Work is generally performed at Consultant's offices, and reports are provided on an as-needed basis.

Section 3: Engagement Details

3.1 Engagement Elements:

The scope of work is defined by Consultant, and the nature and depth of activities are determined by the Consultant's discretion.

3.2 Accuracy of Information:

Consultant verifies information within reason but is not responsible for errors in Client-approved content.

Section 4: Agreement Terms

4.1 Commencement of Work:

Work begins upon receiving a signed agreement and deposit payment. Work may be suspended for overdue accounts.

4.2 Collection and Refund Policy:

Client is responsible for legal fee collection and any applicable sales taxes. All payments are non-refundable.

Section 5: Non-Solicitation

5.1 Non-Solicitation Clause:

Client is prohibited from recruiting or employing Contractor's current or past personnel for two years after the completion of contracted work.

Section 6: Governing Law and Dispute Resolution

6.1 Governing Law:

This agreement is governed by the laws of the State of Wyoming.

6.2 Dispute Resolution:

Disputes will be resolved through binding arbitration within Wyoming.

Section 7: Termination and Cancellation

7.1 Early Termination:

Agreements are for the specified period and may not be shortened. In case of early termination, Client is responsible for payment up to the termination date.

7.2 Retainer Engagements:

Either party may cancel retainer engagements with a 30-day written notice before the start of the following month.

Section 8: Invoicing, Payment, and Timeframe

8.1 Invoicing & Payment:

Inbouncy will invoice within 1-2 business days after signing. Payment methods include credit/debit card, ACH, and wire transfer.

8.2 Engagement Timeframe:

The engagement timeframe is pre-determined as per the contract, extendable up to 120 days with mutual agreement.

8.3 Engagement Delivery:

Inbouncy provides services at a standard pace. Client is responsible for contractual obligations with other vendors impacted by the implementation.

 

User Agreement

By using the Services (“inbouncy.com”) of Inbouncy LLC, you agree to the following terms:

  1. Service Use

1.1 The Service (“inbouncy.com”) is for informational and entertainment purposes only. It does not replace professional advice.

1.2 Inbouncy is not liable for the accuracy or completeness of content. Changes may occur without notice.

  1. External Links

2.1 The Service (“inbouncy.com”) may contain links to third-party websites. Inbouncy is not responsible for their content or accuracy.

2.2 Users accessing third-party websites via the Service (“inbouncy.com”) do so at their own risk.

  1. Indemnification

Users agree to indemnify Inbouncy from claims arising from their use of the Service (“inbouncy.com”), including User Content.

  1. Suspension and Termination

Inbouncy may suspend or terminate user access and remove User Content at its discretion, without notice.

  1. Jurisdiction

This agreement is governed by Wyoming law. Users submit to personal jurisdiction in Wyoming.
